Practical questions

General principles worth knowing

What is the abrupt termination of an established commercial relationship?

This refers to the total or partial termination of a stable and continuing commercial relationship without sufficient written notice taking account of the duration of the relationship and of the practice of the sector, which may engage the liability of the party bringing it to an end.

How can general terms of sale be made secure?

General terms of sale benefit from setting out clearly the arrangements as to price, payment and delivery, the warranties given, the allocation of liability and the means of resolving disputes, while complying with the applicable mandatory rules.

What remedies are available in cases of unfair competition?

The victim of acts of unfair competition (disparagement, confusion, disorganisation, free-riding) may bring proceedings before the civil or commercial courts in order to obtain an order restraining the conduct and compensation for the loss suffered.

What is the difference between a commercial agent and a salaried sales representative?

A commercial agent is an independent intermediary who negotiates and concludes contracts on behalf of a business, whereas a salaried sales representative is an employee bound by a contract of employment, the two being subject to distinct legal and social security regimes.
